From our many years of experience as external consultants in Mergers & Acquisitions (M & A), the most elementary success factor for the successful integration of a company or joint venture is a consistent and structured post-merger integration process. In this context, the setting from the closing - the conclusion and entry into force of the takeover agreement - does not play the main role for a sustainably successful corporate integration. Instead, preparatory strategic planning begins at an early stage as part of the due diligence process. The legal, economic, tax and financial risk issues identified during the due diligence process must be evaluated in depth in the run-up to a post-merger integration and optimized in a visionary manner for the transaction concept under the premise of "reorganization, interlocking and harmonization".
